These Terms of Service ("Terms") establish the legal agreement between you and Jurispoint Solutions Inc. ("Company," "we," "us," or "our") regarding your use of our website, services, and any related platforms. By accessing or using our services, you agree to be bound by these Terms. If you do not agree to all the terms and conditions contained herein, do not use our services.

1. Services and Scope

Jurispoint Solutions Inc. provides multi-jurisdictional legal research, compliance analysis, regulatory mapping, and advisory services ("Services"). Our Services are intended for business, legal, and compliance professionals requiring clarity on complex jurisdictional regulations and requirements.

The Company operates under VAT Registration: 912857314 RT 0001, registered in Ontario, Canada. All Services are subject to availability and applicable laws in Canada and the jurisdictions referenced in our analysis.

2. Eligibility and Account Responsibility

You represent and warrant that you are at least 18 years old and have the legal capacity to enter into this agreement. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify the Company immediately of any unauthorized access or use of your account. The Company is not responsible for any losses resulting from unauthorized account access.

You agree not to use the Services for any unlawful purpose or in violation of any applicable laws or regulations, including but not limited to those governing data protection, privacy, and professional conduct.

3. Acceptable Use Policy

You agree not to:

  • Use the Services to transmit any unlawful, threatening, abusive, defamatory, obscene, or otherwise objectionable content
  • Attempt to gain unauthorized access to the Services or related systems or networks
  • Disrupt or interfere with the integrity or performance of the Services
  • Reverse engineer, decompile, or otherwise attempt to derive source code from the Services
  • Use automated tools, bots, or scraping mechanisms to access or extract data from the Services without express written permission
  • Violate any applicable privacy laws or regulations, including GDPR, PIPEDA, or other data protection legislation
  • Engage in any form of harassment, discrimination, or illegal activity
  • Infringe upon intellectual property rights of the Company or third parties

4. Intellectual Property Rights

All content provided through the Services, including text, graphics, logos, research materials, databases, and software, is the exclusive property of Jurispoint Solutions Inc. or its licensors and is protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Services for your internal business purposes only. You may not reproduce, distribute, modify, adapt, translate, or create derivative works based on the Services or any content therein without the Company's prior written consent.

Any research, analysis, or deliverables prepared by the Company specifically for you may be subject to additional terms, including confidentiality and work product privilege protections, as outlined in separate engagement agreements or invoices.

5. Limitation of Liability and Disclaimer of Warranties

Disclaimer: The Services are provided "as is" and "as available." The Company disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. While the Company endeavors to provide accurate and current information, we do not guarantee the completeness, accuracy, or timeliness of all content.

No Professional Advice: Information provided through the Services is for informational purposes only and does not constitute legal, financial, tax, or professional advice. The Services are not a substitute for consultation with qualified legal counsel. You should always consult with licensed professionals regarding your specific circumstances and jurisdiction.

Limitation of Damages: To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost data, or business interruption, even if advised of the possibility of such damages.

Cap on Liability: In no event shall the Company's total liability to you exceed the amount paid by you for the Services in the 12 months preceding the claim, or $500 CAD, whichever is greater.

6. Indemnification

You agree to indemnify, defend, and hold harmless Jurispoint Solutions Inc., its officers, directors, employees, and agents from any third-party claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Services, your violation of these Terms, or your violation of applicable laws. This indemnification does not apply to claims arising solely from the Company's negligence or willful misconduct.

7. Data Protection and Privacy

The Company is committed to protecting your personal information and complies with applicable data protection laws, including Canada's Personal Information Protection and Electronic Documents Act (PIPEDA) and the General Data Protection Regulation (GDPR) where applicable.

Our collection, use, and protection of your data is governed by our Privacy Policy, which is incorporated by reference into these Terms. By using the Services, you consent to the data practices described in our Privacy Policy.

You represent that any personal information you provide is accurate, current, and lawfully obtained. You are responsible for obtaining any necessary consents before sharing personal information of third parties with the Company.

The Company implements appropriate technical and organizational measures to protect personal information against unauthorized access, alteration, disclosure, or destruction. However, no security measure is entirely foolproof, and the Company cannot guarantee absolute security.

8. Confidentiality

Any information marked as confidential or that reasonably should be understood as confidential ("Confidential Information") is protected under these Terms. The Company agrees to maintain the confidentiality of your Confidential Information and not disclose it to third parties without your written consent, except as required by law or as necessary to provide the Services.

Information that is publicly available, already known to the Company prior to disclosure, or independently developed without reference to your Confidential Information is not subject to confidentiality obligations.

9. Fees, Payment, and Billing

Fees for Services are as quoted in our proposals or as specified on our website and pricing page. All fees are in Canadian dollars (CAD) unless otherwise stated.

Payment is due upon invoice unless alternative terms have been agreed in writing. Late payments may incur interest charges at a rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.

The Company reserves the right to suspend Services if payment is not received within 30 days of invoice date. Suspension does not waive the obligation to pay outstanding amounts.

Prices are subject to change at the Company's discretion. The Company will provide 30 days' notice of any price changes. Your continued use of the Services following such notice constitutes acceptance of the new pricing.

10. Term and Termination

These Terms become effective when you accept them and continue until terminated. The Company may terminate your access to the Services at any time for breach of these Terms, non-payment, or for any other reason, with or without cause, upon written notice.

Upon termination, your rights to use the Services cease immediately. Sections that by their nature should survive termination—including intellectual property rights, limitation of liability, indemnification, and confidentiality—shall survive.

Any outstanding payments remain due following termination. The Company may delete your account and associated data after 90 days of termination unless otherwise required by law.

11. Modifications to Services and Terms

The Company reserves the right to modify, suspend, or discontinue the Services or any portion thereof at any time, with or without notice. The Company shall not be liable for any such modifications or discontinuation.

The Company may revise these Terms at any time. Material changes will be communicated via email or by prominently posting the revised Terms on the website. Your continued use of the Services following notification constitutes your acceptance of the revised Terms.

12. Jurisdiction and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflicts of law principles. You irrevocably consent to the exclusive jurisdiction of the courts of Ontario for any disputes arising from these Terms or the Services.

Before initiating legal proceedings, you agree to attempt resolution through good faith negotiation. If negotiation is unsuccessful, you may initiate arbitration or legal action as provided by law.

Each party waives the right to a jury trial and the right to participate in class action litigation.

13. Third-Party Links and Content

The Services may contain links to third-party websites or references to third-party content. The Company is not responsible for the availability, accuracy, or content of such third-party resources. Your use of third-party services is governed by their terms and conditions, not these Terms.

The Company does not endorse any third-party websites or content and shall not be liable for any harm or losses resulting from your interaction with third parties.

14. Compliance with Laws

You agree to comply with all applicable laws and regulations in your jurisdiction, including those governing export controls, sanctions, anti-money laundering, and anti-bribery laws.

If you are a U.S. person subject to sanctions, or if you are located in a sanctioned jurisdiction, you may not use the Services. The Company reserves the right to refuse service to any person in violation of sanctions regulations.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent.

16. Entire Agreement

These Terms, together with any separate engagement agreements, proposals, invoices, and the Privacy Policy, constitute the entire agreement between you and the Company regarding the Services and supersede all prior and contemporaneous agreements, understandings, and negotiations, whether written or oral.
